Close a construction company at start of case arbitration

I opened a construction company to do a project for a "friend". After the project was completed he ran into money concerns and decided to put a claim against me (my insurance company) for poor construction applications (concrete). I had/have no insurance against poor workmanship, so the insurance company denied claim. He now has submitted for mediation. He say's he's not trying to stick me, just the insurance company. Even if I win through mediation I have no money to pay legal or mediation fees.  If my insurance company gets involved I have a $5000 deductible against legal. I would rather not, but wouldn't mind closing the company and let this die if possible, before it goes any further. What is the best proceedure from here?
